This AIspire Payment & Subscription Agreement ("Agreement") is entered into between you ("User," "you," or "your") and AIspire ("Company," "we," "us," or "our"). This Agreement governs your purchase and use of AIspire's Services, including any free trials, subscriptions, and one-time purchases. By creating an account, completing a payment, or redeeming a code, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions of this Agreement. If you do not agree with these terms, you may not use the Services.
This Agreement incorporates our Privacy Policy and Terms of Service by reference. Please review these documents carefully.
AIspire: The AI-assisted academic writing tool and related services developed and operated by the Company.
Services: All features, functionalities, and technical support accessible via the AIspire web platform, API, or other interfaces, including but not limited to AI writing suggestions, paper polishing, formatting, literature recommendations, inspiration discovery, My Library, podcast generation, and related functions.
Free Service: Features available without payment, subject to usage limits and other restrictions as defined on our pricing page.
Paid Services: Subscription plans (e.g., Plus, Pro) or other offerings that require payment to access enhanced features and usage allowances.
Subscription: A recurring payment plan for access to Paid Services.
Subscription Term: The duration of a Subscription, which may be monthly, quarterly, or annually, as selected by the User at the time of purchase.
Billing Cycle: The recurring interval at which Subscription fees are charged (e.g., monthly, annually).
User Content: Any text, documents, data, or other materials that you upload, create, or otherwise provide to the Services.
Redemption Code: A code provided by the Company for promotional, marketing, or other purposes that can be redeemed for access to Paid Services for a specified period.
AIspire offers various service plans, including Free Service and Paid Services (e.g., Plus Service, Pro Service), each with distinct features, usage limits, and pricing. Detailed information regarding current plans, features, and pricing is available on the AIspire website's dedicated pricing page. We reserve the right to modify our service plans and pricing at any time, with changes becoming effective as outlined in Section 9 (Agreement Modifications).
Provides access to basic features with specified usage limits (e.g., My Library Storage, Language Model Chat, Online Search, File Uploads). These limits are subject to change at our sole discretion.
A paid Subscription offering enhanced features and increased usage allowances. Pricing for the Plus Plan is available on a monthly, quarterly, or annual basis, with potential discounts for longer Subscription Terms.
A premium paid Subscription providing advanced features and extended usage allowances. Pricing for the Pro Plan is available on a monthly, quarterly, or annual basis, with potential discounts for longer Subscription Terms.
All prices are listed in USD unless otherwise specified and are exclusive of any applicable taxes, duties, or charges imposed by taxing authorities. You are responsible for paying all such taxes, duties, and charges.
All payments for Paid Services are securely processed through Stripe, our third-party payment processor. We accept various payment methods supported by Stripe, including major credit and debit cards (Visa, MasterCard, American Express, Discover), Apple Pay, Google Pay, Stripe Link, and other local payment methods as may be available. By providing payment information, you authorize Stripe to process payments on our behalf.
Payment Information: You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Services. You further agree to promptly update account and payment information, including email address, payment method, and payment card expiration date, so that we can complete your transactions and contact you as needed. We do not store your complete credit card details on our servers; this information is securely handled by Stripe.
Redemption Codes: From time to time, we may issue redemption codes through promotions, giveaways, or marketing events. These codes allow access to specific Paid Services for a defined period. Redemption codes have no cash value, are non-transferable, and are subject to specific terms and conditions associated with each promotion. They do not constitute a regular payment method and cannot be exchanged for cash or credit.
Additional Costs: Any additional costs, such as bank charges, foreign exchange fees, or network fees, incurred during the payment process are solely your responsibility.
Failed Payments: In the event that a payment fails, we reserve the right to suspend or terminate your access to Paid Services until all outstanding amounts are paid in full. We will notify you of any failed payment attempts and provide instructions for resolution.
Your Subscription to Paid Services begins immediately upon successful payment and continues for the Subscription Term you selected (e.g., monthly, quarterly, annually). The payment date counts as Day 1 of your Subscription Term. Access to Subscription benefits applies throughout the Subscription Term regardless of actual usage.
Automatic Renewal: TO ENSURE UNINTERRUPTED SERVICE, ALL PAID SUBSCRIPTIONS WILL AUTOMATICALLY RENEW AT THE END OF EACH SUBSCRIPTION TERM AT THE THEN-CURRENT RATES, UNLESS YOU CANCEL YOUR SUBSCRIPTION PRIOR TO THE RENEWAL DATE. By purchasing a Subscription, you acknowledge and agree that your Subscription has recurring payment features, and you accept responsibility for all recurring payment obligations prior to cancellation of your Subscription by you or AIspire. We (or our third-party payment processor, Stripe) will automatically charge your chosen payment method on the anniversary of the commencement of your Subscription (or the end of your free trial period, if applicable) and on each recurring billing date thereafter, using the payment information you have provided.
Cancellation of Renewal: You may cancel the automatic renewal of your Subscription at any time through your account management page on the AIspire website or by contacting our customer support team at support@aispire.info. To avoid being charged for the next Subscription Term, you must cancel your Subscription before the next billing date. Cancellation will be effective at the end of the then-current Subscription Term, and you will continue to have access to the Paid Services until that time. No refunds will be issued for any unused portion of a Subscription Term upon cancellation.
By using the Services, you agree to abide by all applicable laws and regulations and to adhere to the following conduct guidelines. You agree not to:
Unauthorized Access & Sharing: Share, resell, transfer, or otherwise provide access to your account or Subscription rights to any third party. Each account and Subscription is intended for use by a single, authorized user.
System Interference: Reverse engineer, decompile, disassemble, modify, adapt, or otherwise attempt to discover the source code, algorithms, or underlying structure of the Services. You also agree not to bypass or attempt to bypass any security measures or usage limitations implemented by the Company.
Malicious Activity: Upload, post, transmit, or distribute any malicious code, viruses, worms, or other harmful software. You also agree not to engage in any activity that could disrupt, damage, or impair the functionality or integrity of the Services or our systems.
Illegal or Infringing Content: Upload, distribute, or use the Services to create, store, or transmit any content that is illegal, infringing, defamatory, obscene, or otherwise objectionable. This includes content that violates intellectual property rights, privacy rights, or any other rights of third parties.
Abuse & Misuse: Use the Services for spamming, phishing, fraudulent activities, or any other activity that violates applicable laws or our Terms of Service. This includes excessive or abusive usage that negatively impacts the performance or availability of the Services for other users.
We reserve the right to investigate any violation of these User Conduct provisions. In the event of a violation, we may, at our sole discretion, suspend or terminate your account and access to the Services without refund, and take appropriate legal action if necessary.
We strive to provide a satisfactory experience with AIspire. Our refund and cancellation policies are as follows:
Initial Purchase Refund (Trial Period): You may request a full refund within twenty-four (24) hours of your initial purchase of a Paid Service, provided that no paid features have been used. To be eligible for this refund, you must submit a refund request to support@aispire.info within the 24-hour window, and our system must confirm no usage of paid features.
Active Subscription (Non-Refundable): Once any paid feature of a Subscription has been accessed or utilized, the Subscription becomes non-refundable. This policy applies to all Subscription Terms (monthly, quarterly, annual) after the initial 24-hour trial period (if applicable) and usage condition has passed. No refunds will be issued for partial use or unused time on an active Subscription.
Service Issues: In the rare event of verified technical failures directly caused by AIspire that prevent the normal provision of the Services for an extended period, you may be eligible for a proportional refund for the unused days of your Subscription. Such claims must be submitted to support@aispire.info and will be subject to our internal verification process. This does not apply to issues arising from your internet connection, device, or third-party services not under our direct control.
Cancellation of Automatic Renewal: As detailed in Section 5, you may cancel the automatic renewal of your Subscription at any time. Your access to Paid Services will continue until the end of your current Subscription Term, and no further charges will be incurred. No refunds will be provided for the current Subscription Term upon cancellation of renewal.
Data Retention upon Termination/Expiration: Upon the termination or expiration of your Subscription, we may retain your User Content and associated data for a period of up to thirty (30) days to allow for data export or backup. After this 30-day period, your data may be permanently deleted from our systems. It is your responsibility to export any data you wish to retain prior to the expiration or termination of your Subscription.
To the maximum extent permitted by applicable law, AIspire, its affiliates, directors, employees, agents, suppliers, or licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services; (iii) any content obtained from the Services; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.
In no event shall AIspire's total cumulative liability under this Agreement exceed the amount actually paid by you for the Subscription Services in the six (6) months immediately preceding the event giving rise to the claim.
We reserve the right, at our sole discretion, to modify or replace this Agreement at any time. If a revision is material, we will provide at least thirty (30) days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. We will notify Users of any modifications via in-product announcements, email, or by posting the updated Agreement on our website.
Unless otherwise required for urgent circumstances (e.g., to comply with legal requirements or address security risks), modifications will take effect ten (10) days after notice is provided. Your continued use of the Services after such modifications constitutes your acceptance of the revised Agreement. If you do not agree to the new terms, you are no longer authorized to use the Services.
This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction where AIspire is legally registered, without regard to its conflict of law provisions. This choice of law does not, however, limit your rights under the consumer protection laws of your country of residence.
Informal Resolution: In the event of any dispute, claim, or controversy arising out of or relating to this Agreement or the breach, termination, enforcement, interpretation, or validity thereof (collectively, "Disputes"), both parties agree to first attempt to resolve the Dispute informally for a period of at least thirty (30) days before initiating any formal proceeding. This informal resolution process shall begin upon receipt of written notice from one party to the other ("Notice of Dispute"). The Notice of Dispute must describe the nature and basis of the claim or dispute and set forth the specific relief sought.
Binding Arbitration (Optional - to be discussed with legal counsel): For users residing in certain jurisdictions, we may require that Disputes be resolved by binding arbitration, rather than in court. This means that you and AIspire are each waiving the right to a trial by jury or to participate in a class action. The arbitration will be administered by a mutually agreed-upon arbitration service in accordance with its Commercial Arbitration Rules and, if applicable, the Supplementary Procedures for Consumer Related Disputes. The arbitration will be held in the jurisdiction where AIspire is legally registered, unless otherwise agreed.
Jurisdiction: If a Dispute cannot be resolved informally or through arbitration (if applicable), either party may bring a claim in the competent courts located in the jurisdiction where AIspire is legally registered. You hereby consent to the exclusive jurisdiction and venue of such courts.
